1. About us

Harbor Growth Systems LLC ("Harbor Growth Systems," "Company," "we," "us," or "our") is a digital marketing and AI growth infrastructure company registered in the state of North Carolina, with principal operations in Wilmington, NC. We provide digital marketing, brand strategy, AI integration, CRM setup, and related growth services to established private practices and professional services businesses.

2. Website use

This website is provided for informational purposes about Harbor Growth Systems and its services. By using this site, you confirm that you are at least 18 years of age and have the legal authority to enter into agreements on behalf of any business you represent.

You agree not to:

• Use this website for any unlawful purpose or in violation of these terms
• Attempt to gain unauthorized access to any portion of the website or its related systems
• Reproduce, duplicate, copy, sell, or exploit any content from this website without our express written permission
• Use any automated tool, scraper, or bot to access or collect data from this website
• Transmit any unsolicited or unauthorized advertising or promotional material

3. Services and service agreements

All services provided by Harbor Growth Systems are governed by a separate written Service Agreement or Statement of Work ("SOW") executed between the parties prior to the commencement of services. These Terms & Conditions are incorporated by reference into any such agreement.

Harbor Growth Systems reserves the right to refuse service to any person or business at its sole discretion. Acceptance of a discovery call or audit payment does not constitute a commitment to provide ongoing retainer services.

4. The $997 Business Audit

The Business Audit is a one-time, flat-fee service priced at $997. The following terms apply:

• Payment is due in full prior to the commencement of audit work
• The audit will be delivered within seven (7) business days of payment receipt and receipt of all required access and information from the client
• The $997 fee is fully credited toward month one of any retainer engagement entered into within sixty (60) days of audit delivery
• The audit fee is non-refundable once work has commenced
• The audit includes one (1) sixty-minute results review call. Additional calls are available at our standard hourly rate
• Audit results represent our professional assessment based on information available at the time of analysis. Results are not guarantees of future performance

5. Retainer services

Retainer engagements are governed by individually executed Service Agreements. General terms include:

• All retainer services begin with a 90-day initial commitment period
• Following the initial 90-day period, retainer agreements continue on a month-to-month basis
• Either party may terminate month-to-month retainer services with thirty (30) days written notice
• Retainer fees are invoiced monthly, in advance, and are due within seven (7) days of invoice date
• Ad spend (for Google Ads, Meta Ads, and similar paid media) is billed separately and in addition to retainer fees
• Accounts more than fifteen (15) days past due may result in suspension of services without further notice

6. Intellectual property and deliverables

Upon receipt of full payment for all applicable fees, Harbor Growth Systems assigns to the client all intellectual property rights in custom deliverables created specifically for that client, including website design files, brand assets, and written copy, unless otherwise specified in the applicable Service Agreement.

Harbor Growth Systems retains ownership of all proprietary systems, frameworks, templates, methodologies, tools, and processes used in delivering services. The client receives a license to use deliverables built using such tools, but Harbor Growth Systems retains all underlying intellectual property.

Harbor Growth Systems reserves the right to display client work in its portfolio and marketing materials unless the client requests confidentiality in writing.

7. Performance and results

Harbor Growth Systems does not guarantee specific results, rankings, lead volumes, revenue increases, or other performance metrics. Digital marketing results are influenced by numerous factors outside our control, including market conditions, competition, platform algorithm changes, client responsiveness, and the quality of the client's product or service.

Any projections, case studies, or example results shared on this website or in our materials are representative examples only. Actual results will vary. Past results achieved for other clients are not a guarantee of future results for your business.

8. Client responsibilities

To enable effective service delivery, clients agree to:

• Provide timely access to required accounts, platforms, and information
• Designate a primary point of contact who can provide approvals within agreed timelines
• Provide accurate and truthful information about their business
• Maintain sufficient ad spend budgets when paid advertising is included in the engagement
• Review and approve or request changes to deliverables within five (5) business days of submission

Delays caused by the client's failure to fulfill these responsibilities may result in project timeline adjustments without penalty to Harbor Growth Systems.

9. Confidentiality

Both parties agree to maintain the confidentiality of the other party's proprietary business information. Harbor Growth Systems will not disclose confidential client information to third parties except as required to deliver services (e.g., providing access to a third-party platform on the client's behalf) or as required by law.

10. Limitation of liability

To the maximum extent permitted by applicable law, Harbor Growth Systems' total liability to any client for any claim arising from or related to services shall not exceed the total fees paid by that client to Harbor Growth Systems in the three (3) months preceding the claim.

Harbor Growth Systems shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, or lost business opportunities, whether or not such damages were foreseeable or Harbor Growth Systems had been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Harbor Growth Systems LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of our services, your violation of these terms, or your infringement of any third-party rights.

12. Third-party platforms and tools

Harbor Growth Systems may use third-party platforms and tools to deliver services, including but not limited to Google Ads, Meta Ads Manager, GoHighLevel, Formspree, Cloudflare, and others. We are not responsible for changes to third-party platform policies, pricing, availability, or functionality that may affect service delivery. We will notify clients of material platform changes that impact their engagement.

13. Dispute resolution

In the event of a dispute arising from or related to these terms or any Service Agreement, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration in Wilmington, North Carolina, under the rules of the American Arbitration Association. The prevailing party in any arbitration shall be entitled to recover reasonable legal fees and costs.

These terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

14. Changes to these terms

Harbor Growth Systems reserves the right to update these Terms & Conditions at any time. Changes take effect upon posting to this page. Your continued use of our website or services after changes are posted constitutes acceptance of the updated terms. We encourage you to review this page periodically.

15. Entire agreement

For website visitors, these terms constitute the entire agreement between you and Harbor Growth Systems regarding website use. For service clients, these terms are supplemented by and incorporated into any executed Service Agreement, which governs in the event of any conflict.
